CasinoPlus Acquisition

DigiPlus Interactive Corp clarified on Monday that it currently has no concrete plans to acquire CasinoPlus, an online gaming provider regulated by the Philippine Amusement and Gaming Corporation (PAGCOR). The company issued the statement directly to the Philippine Stock Exchange, addressing recent reports that suggested otherwise.

CasinoPlus operates under a PAGCOR-issued license linked to Hotel Stotsenberg and Casino, located in Clark. This integrated resort is currently undergoing renovations. Clark, situated about two hours north of Manila, continues to grow as a regional gaming hub.

Although recent regulatory changes now allow licensed land-based casinos and integrated resort operators to offer online gambling services, authorities limit this access strictly to registered members within the Philippines. Additionally, these digital games must connect directly to physical gaming machines or tables inside the casino. As a result, this model separates itself from traditional online gaming, which relies entirely on server-based virtual games.

In its disclosure, DigiPlus emphasized its broader strategic approach. The company stated, “Acquisitions have always been part of the company’s strategic expansion plans. However, there are no definitive plans at this time.” This response followed a speculative article published by Bilyonaryo.com on Sunday.

That report claimed DigiPlus was preparing to acquire CasinoPlus. It also suggested that a potential merger between the two companies could generate up to PHP10 billion (roughly US$170.4 million) in monthly revenue. Furthermore, the article noted that both companies share several investors, which allegedly helped facilitate early discussions.

Despite the buzz, DigiPlus firmly dismissed any confirmed deal. Instead, the company reaffirmed its focus on measured and strategic expansion.

DigiPlus, previously known as Leisure & Resorts World Corp, holds a diverse portfolio across gaming and leisure sectors. The firm has been involved in multiple ventures, including a now-shelved casino resort project in Boracay, which remained under discussion until October 2023.

Currently, DigiPlus operates a wide array of platforms. These include digital bingo services and a digital sportsbook. The company continues to expand its reach within regulated markets, carefully aligning with national laws and gaming standards.

Moreover, as of its third-quarter financial report released on November 11, DigiPlus still controls an 87.27% stake in First Cagayan Leisure and Resort Corp. This subsidiary handles the licensing, regulation, and oversight of interactive gaming operations under the Cagayan Economic Zone Authority (CEZA). CEZA has issued interactive gaming licenses since 2001, making it one of the pioneering regulatory bodies in Asia.

With regulatory scrutiny increasing and competition growing, DigiPlus aims to remain transparent while continuing to evaluate opportunities that align with its long-term growth strategy.
